This is a retainer. We hold the compliance calendar for your Thai company, prepare the documents each date requires, write up the registers and minute books as changes happen, and stay available for the questions that come up in between.
What this covers
- The annual compliance calendar, held and run for you
- Notices, minutes and resolutions for the annual general meeting
- The registers and minute books, kept current at the registered office
- Director changes, share transfers, changes of registered office and capital changes as they happen
- An annual review of whether the internal records and the filed records still describe the same company
- A named point of contact for questions between engagements
What you receive
Every year of a retainer produces documents, not availability alone. That means:
- A calendar listing every filing the company owes and the date it falls due
- Meeting and resolution documents prepared ahead of each date rather than after it
- Registers and minute books written up when a change happens
- One short written compliance review each year, listing anything that has drifted
- Written confirmation of what has been lodged, and when
How an engagement runs
- Scoping. A short call to establish where the company stands today.
- Catch-up work first, if any. If the records need bringing up to date, that is scoped and quoted separately before the retainer begins.
- Quote. The retainer is quoted as a fixed annual fee.
- The year. We run the calendar, prepare the documents ahead of each date, and tell you what needs signing and when.
What this does not cover
We do not do bookkeeping, accounting, audit or tax filing. The retainer sits alongside your accountant and your auditor, and we do not act as the company’s auditor. Visa and work permit administration sits outside it. Court proceedings are referred to Thai litigation counsel. Bringing neglected records back into order is handled under Corporate Compliance and Governance, and a new company or a restructuring under Corporate and Commercial. We describe what the law says about nominee arrangements, and we do not advise on them.
Fees
Fixed annual fee, quoted in writing after scoping and payable in full before work begins. We do not bill by the hour. Work outside the retainer is scoped and quoted separately before it starts, so nothing arrives as a surprise.
