We draft and review the agreements a business and its owners need in Thailand. Each one is written for the arrangement in front of us, in the language and the form Thai law requires for that type of document, so that it still says what you meant when somebody disputes it.
What this covers
- Shareholders agreements: voting, share transfers, deadlock and what happens when someone leaves
- Directorship agreements: authority to sign, duties, remuneration and liability
- Partnership and joint venture agreements: contributions, profit share and exit
- Employment contracts, and Thai-language work rules where the headcount requires them
- Service agreements, NDAs and MOUs, including the ones a counterparty has asked you to sign
- Loan and security documentation, including shareholder loans into a Thai company
- Review of an agreement you have been asked to sign
What you receive
You receive the agreement itself, drafted and ready to sign. Depending on the matter, that means:
- The agreement itself in English, and bilingual where the counterparty or the registry needs Thai
- A governing language stated in the document rather than left to be worked out later
- A written review of a document you already hold: what it does, what it leaves open, and what we would change
- Signing instructions covering who signs, what witnessing is needed, and what has to be registered
How an engagement runs
- Scoping. You describe the deal in plain terms: what each side gives, what each side gets, and what worries you.
- Quote. A written scope and a fixed fee, before drafting starts.
- Drafting. Bilingual where it needs to be, with the formalities that attach to each type of document.
- Revisions and signature. Changes are tracked so you can see exactly what moved between versions.
What this does not cover
We do not appear in court or in arbitration, and we do not run debt collection or enforcement. Certified and sworn translation is a separate service with its own formalities. Property agreements and Land Office registration are handled under Real Estate and Property, and formation documents under Corporate and Commercial. We do not draft a document whose purpose is to record something other than the real arrangement between the parties.
Fees
Fixed fee, quoted in writing after scoping and payable in full before work begins. We do not bill by the hour, and we do not sell templates.
